Structured Yield & Liquidity Solutions | Non-Dilutive Capital for Income-Producing Assets

Structured Finance LLC is a California-registered investment adviser (CRD #336805) that manufactures compliant yield instruments for income-producing asset owners. We deliver non-dilutive capital, transferable yield, and institutional-grade securities structures to solar developers, wind operators, battery storage owners, oil & gas royalty holders, midstream operators, specialty private credit originators, and infrastructure cash-flow owners — without selling equity, ceding governance, or taking on more debt. Our flagship product is the Energy Yield Token. Alongside this primary practice, we maintain an established capital markets advisory practice covering IPOs, reverse mergers, SPAC transactions, OTC uplistings, and M&A.

Structured Yield Score™

Layer 0 — Free Yield Suitability Assessment

The Structured Yield Score™ is a free, instant assessment that scores any income-producing asset for tokenization fit and structured yield suitability. Asset owners receive a directional yield range, a structure recommendation (Energy Yield Token, Revenue Participation, Private Credit, or hybrid), and a securities-framework selection (Reg D 506(b) vs 506(c)). The assessment is the entry point to our Layer 1 / Layer 2 / Layer 3 service stack.

Diagnostic Advisory Products

Layer 1 — Fixed-Scope Engagements

Productized capital-markets opinions that can be purchased without a sales process. Three productized advisory deliverables with defined scope, defined timelines, and defined prices: the Structured Yield Feasibility Report™, the Liquidity Gap Analysis, and the Capital Structure Optimization Review. Each diagnostic includes a credit toward a future structuring mandate — the entire diagnostic fee applies against the structuring retainer if the client engages us for the full mandate within 90 days.

Structuring Mandates

Layer 2 — Core Structuring Engagement

Full architectural mandate plus long-term yield participation. For asset owners ready to execute, we architect the full structure end-to-end: legal entity formation, the Revenue Participation Agreement, offering documentation, Reg D filing, platform coordination, and investor onboarding architecture. Embedded in every structuring mandate is the Advisor Yield Participation Right (AYPR) — a contractual right to a defined percentage (1%–3%) of actual cash flow distributions from the SPV, for the full life of the structure. The AYPR is not a placement fee, not a transaction-based commission, and not a token supply allocation. It is a structurally aligned co-advisor economic interest, fully disclosed in our Form ADV Part 2A and in the PPM of every offering.

Ongoing Advisory & Asset Servicing

Layer 3 — Recurring Engagement (0.50%–1.00% AUM annually)

As registered investment adviser of record for every structure we put together, Structured Finance LLC delivers the documented, examination-defensible advisory work product that justifies the annual fee: quarterly monitoring reports, distribution recommendations, valuation support, exit-strategy advisory, investor communications, market intelligence briefings, and reinvestment guidance at maturity. Every line item is supported by a documented work product filed in our compliance archive.

Featured Product: The Energy Yield Token

Non-Dilutive Capital Formation for Energy Asset Owners

The Energy Yield Token is the firm's flagship instrument — a structured income participation security for solar developers, wind operators, battery storage owners, oil and gas royalty holders, midstream operators, and pipeline owners. The instrument is a contractual revenue participation right, not equity. The asset stays on the owner's balance sheet, future appreciation belongs entirely to the owner, and income participants receive a documented contractual yield over a defined term inside a Reg D 506(b) or 506(c) compliant offering. Tokens are issued under the ERC-3643 standard with transfer restrictions enforced on-chain, then the income stream reverts to the owner in full at maturity.

Partner With Us — White-Label Distribution Channel

For Boutique Investment Banks, Energy Consultants, Solar Finance Advisors, and Specialty Originators

If a partner originates the client relationship, Structured Finance LLC provides the entire structuring infrastructure underneath them: SPV architecture, the Revenue Participation Agreement, offering documentation, Reg D filing coordination, tokenization platform interface, compliance architecture, and ongoing RIA advisory — all delivered under the partner's engagement with the client. The partner owns the client and the relationship economics on top.
